1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website located at huksonsit.com(the "Site") and any initial consultations, quotes, or pre-contractual evaluations provided by HUK SONS IT Private Limited ("Company", "we", "us", "our").

By accessing the Site or engaging with us, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease using the Site.

2. Acceptable Use Policy

You agree to use our Site strictly for lawful purposes and in accordance with these Terms. You are prohibited from:

• Copying, scraping, harvesting, or extracting content from the Site utilizing automated crawlers, spiders, or scripts without our express written permission.
• Attempting to probe, scan, or test the vulnerability of our systems, networks, or Cloudflare hosting configs, or breaching security or authentication measures.
• Reverse engineering, decompiling, or attempting to extract the source code of any proprietary calculator tool or front-end interface element on the Site.
• Introducing viruses, trojan horses, worms, logic bombs, or any other material that is malicious or technologically harmful to our server infrastructure.

3. Intellectual Property Rights

A. Pre-existing Intellectual Property

HUK SONS IT retains all right, title, and interest, including all patents, copyrights, trade secrets, and trademarks, in and to our pre-existing software, frameworks, code libraries, templates, methodologies, and visual designs. No ownership transfer of our pre-existing IP occurs under these Terms.

B. Client Deliverables Allocation

For formal professional engagements, the specific allocation of intellectual property rights is governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW). Typically, we assign all rights in custom software deliverables to the client only upon full payment of all related invoices.

C. Feedback License

If you submit suggestions, improvements, or feedback regarding the Site or our services, you grant us an unrestricted, perpetual, royalty-free, worldwide license to use and commercialize such feedback without restriction or compensation.

4. Disclaimers of Warranties

THE SITE AND ALL CONTENT, CALCULATORS, AND PRE-CONTRACTUAL ADVICE PROVIDED ON THE SITE ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by law, HUK SONS IT disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• Warranties that the Site will be uninterrupted, error-free, secure, free of viruses, or that any information provided is accurate or complete.

5. Limitation of Liability

IN NO EVENT SHALL HUK SONS IT, ITS AFFILIATES, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS SYNERGIES, ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS.

Our total aggregate liability for any claims arising from your use of the Site or pre-contractual advisory shall be capped at three times (3×) the fees paid by you to HUK SONS IT in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100 USD), whichever is greater.

6. Mutual Indemnification

You agree to defend, indemnify, and hold harmless HUK SONS IT and its officers from and against any third-party claims, liabilities, damages, or costs (including reasonable legal fees) arising from your breach of our Acceptable Use Policy (Section 2) or infringement of third-party intellectual property.

7. Governing Law and Dispute Resolution

These Terms shall be governed by, and construed in accordance with, the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles.

In the event of a dispute, controversy, or claim arising out of these Terms:

1. Informal Negotiation: The parties shall first attempt in good faith to resolve the dispute informally through consultation for a period of thirty (30) days.
2. Mediation: If the dispute is not resolved informally, it shall be referred to mediation in Bahawalpur, Punjab, Pakistan, under mutually agreed mediation rules.
3. Litigation: Any unresolved dispute shall be subject to the exclusive jurisdiction of the competent courts of Bahawalpur, Punjab, Pakistan.

8. Miscellaneous

• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
• Entire Agreement: These Terms, along with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and us regarding the use of the Site.
• Amendments: We reserve the right to update these Terms. Material changes will be published on this page and, for active clients, notified via email with 30 days' notice.
